Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Goldline wholesale portal at cpd.linkimaging.com (the "Portal"), operated by Link Imaging’s Channel Partner Division ("Link Imaging," "we," "us"). By accessing or using the Portal you agree to be bound by these Terms. If you do not agree, do not use the Portal.

The Portal is a business-to-business platform available solely to dealers approved by Link Imaging. By using the Portal you represent that (a) you are at least 18 years of age, (b) you are acting on behalf of an authorized dealer account, and (c) you have authority to bind that dealer to these Terms.

Accounts are created by Link Imaging on dealer request. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at support@linkimaging.com if you believe your account has been accessed without authorization. Link Imaging may suspend, restrict, or terminate access at any time for any reason, including suspected violation of these Terms or unauthorized access.

You agree not to:

• Access the Portal by any automated means other than the published API endpoints we make available to you in writing
• Scrape, harvest, copy, or republish product, pricing, or dealer data
• Attempt to reverse engineer the pricing function, account hierarchy, or any other non-public logic
• Probe, scan, or test the vulnerability of the Portal or its supporting systems
• Circumvent rate limits, captcha checks, or other access controls
• Share login credentials with anyone outside your dealer organization, or with anyone within your organization who has not been authorized by your account owner
• Use the Portal to violate any law, regulation, or third-party right

Orders submitted through the Portal are requests to purchase, not binding offers. An order is not accepted until Link Imaging confirms it (typically via a confirmation email and assignment of an internal order number). Link Imaging may decline any order at its discretion.

Prices shown on the Portal apply at the time of order acceptance and are subject to change without notice. Pricing displayed to your account reflects the tier and any per-account adjustments associated with your dealer record. Pricing is confidential and must not be disclosed outside your dealer organization.

Order fulfillment, shipping, payment terms, returns, and warranty are governed by the separate dealer agreement between you and Link Imaging. To the extent of any conflict, the dealer agreement controls.

The Portal, including its software, design, content, branding, and all underlying intellectual property, is owned by or licensed to Link Imaging. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for placing orders and managing your dealer relationship with Link Imaging. No other rights are granted.

Pricing, product cost data, inventory levels, and any other non-public information you access through the Portal is confidential information of Link Imaging. You agree to use it solely to conduct business with Link Imaging and not to disclose it to any third party.

The Portal is provided "as is" and "as available". To the maximum extent permitted by law, Link Imaging disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Portal will be uninterrupted, error-free, or free of harmful components. Reliance on information obtained from the Portal is at your own risk.

To the maximum extent permitted by law, Link Imaging will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, or data, arising out of or related to your use of the Portal. Our aggregate liability for any claim arising out of or related to the Portal will not exceed the amount paid by your dealer organization to Link Imaging in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

You agree to indemnify and hold harmless Link Imaging, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorney’s fees) arising out of or related to (a) your use of the Portal in violation of these Terms, (b) your violation of any law or third-party right, or (c) any content or data you submit to the Portal.

These Terms are governed by the laws of [State of jurisdiction], without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Portal will be resolved exclusively in the state or federal courts located in [County, State], and you consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. The current version is always posted at this URL with an Effective date at the top. For material changes we’ll send a notice to the email associated with your account. Continued use of the Portal after the Effective date constitutes acceptance.
